Agreement

These Terms of Service ("Terms") govern your use of the Fugio Funding Network client portal (the "Portal") operated by Fugio Funding Network, LLC ("Fugio," "we," "us"). By creating an account or using the Portal, you agree to these Terms.

If you do not agree, do not use the Portal.

Who can use the Portal

The Portal is available to authorized representatives of US-based businesses seeking commercial funding. To use the Portal, you must:

Your account

You are responsible for maintaining the confidentiality of your account credentials. We require multi-factor authentication for staff accounts and recommend it for client accounts. Notify us immediately at security@fugiofunding.com of any unauthorized access.

What Fugio does — and does not — do

Fees

Fugio is compensated by lender partners and/or directly by you, as set out in your separate Fee Agreement. The Portal itself does not charge a usage fee. Fees become payable only when a deal is funded.

Information you provide

You agree that all information you provide through the Portal is true, accurate, and complete to the best of your knowledge. You are responsible for the consequences of providing false or misleading information. We may suspend or terminate your account if we believe information you provide is fraudulent.

Documents you upload

By uploading documents to the Portal, you grant Fugio a limited license to use, store, and share those documents with lender partners as needed to evaluate and submit your funding applications. We retain document copies in accordance with our Privacy Policy and applicable law.

Communications

By creating an account, you consent to receive transactional communications from us by email related to your account, deals, documents, and signing events. Marketing communications (if any) are subject to your separate opt-in.

Intellectual property

The Portal, including its design, content, and underlying software, is owned by Fugio or our licensors. We grant you a limited, non-exclusive, non-transferable license to use the Portal for its intended purpose during the term of your relationship with us. All other rights are reserved.

Information you upload remains yours.

Disclaimers

THE PORTAL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Portal will be error-free or available without interruption.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FUGIO AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE PORTAL.

Our total liability for any claim related to the Portal will not exceed the fees you have paid to Fugio in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold Fugio harmless from any claim arising out of: (a) your breach of these Terms, (b) information you submit to the Portal, or (c) your use of the Portal in violation of law.

Termination

You may close your account at any time through the Portal. We may suspend or close your account for violation of these Terms or for business or legal reasons, with or without notice when permitted by law. Sections that by their nature should survive termination (intellectual property, disclaimers, limitations of liability, indemnification) will survive.

Governing law and disputes

These Terms are governed by the laws of the State of Texas without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Texas, and you consent to jurisdiction there.

Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the Portal or by email at least 30 days before they take effect. Continued use of the Portal after changes take effect constitutes acceptance.
